These Terms of Use (“Terms”) govern access to and use of the website located at https://www.neurorise.info (the “Site”), operated by NeuroRise, a company with its registered office in Toronto, Ontario, CANADA (“NeuroRise,” “we,” “us,” or “our”). By accessing or using the Site, you (“you” or “user”) agree to be bound by these Terms. If you do not agree, do not use the Site.
1. About NeuroRise and the Site
NeuroRise is a leadership and capability consultancy bridging neuroscience, healthcare, and organisational development. We help clinicians, healthcare leaders, and healthcare organisations translate research on decision-making, behavioural science, and team performance into practical leadership capability, including leadership development programmes, coaching, team science and psychological-safety workshops, organisational transformation advisory, and strategy and innovation consulting (the “Services”). The Site is provided to give visitors information about NeuroRise, its Services, its research and insights, and its portfolio of past programmes, and to allow visitors to submit inquiries or contact NeuroRise about a potential engagement.
2. No Medical Advice; No Clinician–Patient Relationship
NeuroRise's Services are directed at clinicians, healthcare leaders, and healthcare organisations in their professional, leadership, and team-development capacity — not at individual patients. Content on the Site, including research summaries and insights, is provided for general informational and educational purposes only. Nothing on the Site:
• constitutes medical advice, diagnosis, or treatment for any individual patient;
• is intended to be relied upon for any specific clinical, medical, or health decision concerning you or any other person;
• creates a physician-patient, clinician-patient, or therapist-client relationship between you and NeuroRise or any of its personnel, including where Services are delivered by faculty who are themselves licensed clinicians.
If you or someone you know requires medical attention, contact a qualified healthcare provider directly or your local emergency services. Participation in a NeuroRise leadership programme, workshop, or coaching engagement is a professional development activity and is not, and should not be treated as, clinical care.
3. Eligibility
You must be at least the age of majority in your jurisdiction of residence to use the Site or to register for a NeuroRise programme or engagement. By using the Site, you represent that you meet this requirement and that you are accessing the Site for lawful purposes connected to NeuroRise's business or Services.
4. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
• use the Site in any way that violates applicable federal, provincial, or local law or regulation;
• attempt to gain unauthorized access to the Site, its servers, or any connected systems or networks;
• introduce viruses, malware, or other harmful code, or interfere with the Site's functionality or security;
• scrape, harvest, or collect information from the Site using automated means without our prior written consent;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• submit false, misleading, or fraudulent information through any form, inquiry, or consultation request on the Site.
5. Intellectual Property
All content on the Site — including text, graphics, logos, the NeuroRise name and marks, research summaries, programme frameworks, workshop materials, and portfolio descriptions (including programmes such as the Future Stroke Leaders Workshops) — is the property of NeuroRise or its licensors and is protected by applicable intellectual property laws, unless otherwise indicated. You may view and print Site content for your own personal, non-commercial reference. You may not reproduce, distribute, modify, publicly display, or create derivative works from Site content for any commercial purpose without our prior written consent.
References to academic publications, peer-reviewed research, or third-party studies summarized in the Research & Insights section of the Site remain the property of their respective authors, journals, or sponsoring institutions, and are referenced for informational purposes only. NeuroRise does not claim ownership of third-party research it summarizes or links to.
6. Inquiries and Programme Registrations
If the Site allows you to submit an inquiry, request information about a programme, or otherwise contact us through the contact form or email, you agree that:
• the information you provide is accurate and that you have the right to share it with us;
• submitting an inquiry does not, by itself, create any engagement, contractual relationship, or obligation on the part of NeuroRise to provide Services;
• registration for a specific programme, workshop, or coaching engagement, and any associated fees, terms, or cancellation policies, will be governed by separate written terms provided to you at the time of registration.
7. Third-Party Links and Content
The Site links to and embeds third-party platforms (including LinkedIn and YouTube) and may reference third-party websites, publications, or partner organisations for convenience. NeuroRise does not control and is not responsible for the content, accuracy, availability, or privacy practices of any third-party site or platform. Inclusion of a link or embed does not imply endorsement.
8. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF CONTENT.
NeuroRise does not warrant that the Site will be uninterrupted, secure, or error-free, or that any information on the Site is complete, current, or applicable to any particular organisation's or individual's circumstances. Statements regarding research findings, programme outcomes, or leadership and team-development interventions reflect the state of knowledge as of the date published and may not reflect subsequent developments or be generalisable to every healthcare setting.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURORISE, ITS PRINCIPALS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the extent any liability cannot be excluded under applicable Ontario or Canadian law, NeuroRise's total aggregate liability arising out of or relating to your use of the Site will not exceed CAD $100.
Nothing in these Terms limits liability for matters that cannot be limited or excluded under applicable law, including liability for gross negligence, wilful misconduct, or fraud.
10. Indemnification
You agree to indemnify and hold harmless NeuroRise and its principals, employees, contractors, and affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.
11. Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy, which forms part of these Terms by reference.
12. Changes to the Site or These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue any part of the Site at any time without liability to you.
13. Termination
We may restrict, suspend, or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or for any other reason, in our sole discretion.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, regardless of the country from which you access the Site. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario. Because NeuroRise delivers programmes and workshops internationally, a specific programme or coaching engagement may instead be governed by terms agreed separately for that engagement, which will state which law applies if different from this Section.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
